Terms of Service

The short version: your show's content is yours. You're responsible for what you capture and put on air. Use Podfitter for preparing and running shows, not for anything harmful. It's early software, offered as is, and we'll tell you before anything important changes.
1. The agreement
These terms are an agreement between you and Clemmer Creek Ventures ("we", "us"), PO Box 224, Benton, TN 37307, for using Podfitter: the website at podfitter.com, the app at app.podfitter.com, and the Podfitter browser extension and phone shortcuts. By creating an account, accepting an invitation or using Podfitter, you agree to these terms and to our Privacy Policy. If you use Podfitter for a company or other organization, you agree on its behalf and confirm you're allowed to.
2. Who can use Podfitter
You must be 18 or older. For now, Podfitter accounts are by invitation only. Keep your email account secure: anyone who can read your email can use your sign-in links.
3. Accounts, shows and roles
- An account holds a plan and one or more shows. Its Account Owners run the account and every show in it: they invite and remove people, change settings and the plan, and can make someone else an Account Owner. An account always has at least one owner.
- Cast Members are people invited to particular shows. They can do everything in those shows except manage people, settings and the plan.
- Account Owners are responsible for who they invite and for their account's use of Podfitter.
- When someone leaves a show or is removed, what they added stays with the show, and any private captures they never revealed are revealed to the people still in it.
4. Your content
- You keep all rights to what you and your show add to Podfitter ("your content").
- You give us permission to store, copy, process and display your content only as needed to run Podfitter for you and your show: for example, to save a copy of a page you capture, make pictures fit the Stage, play videos, and show it to the people in your show. This permission ends when your content is deleted, apart from copies that clear from backups as described in our Privacy Policy.
- You're responsible for your content and for having the rights to use it, including what you capture from other sites and what you put on air. Podfitter saves copies of pages and posts to help you prepare a show; it doesn't give you any rights in them. Whether a use on your show is allowed (for example, as commentary, criticism or news reporting) is for you to decide.
5. Acceptable use
Don't use Podfitter to:
- break the law, or store or share content that's illegal, infringes someone's rights, or exploits or endangers children;
- harass, threaten, impersonate or deceive anyone;
- upload malware, or try to get into accounts, shows or systems you're not allowed into;
- overload, scrape or disrupt Podfitter, or get around its limits or security;
- use it as general file hosting or to distribute files to the public.
6. Other sites and services
Podfitter doesn't record, stream or broadcast your show; it works alongside the studio you already use. When you save a link or put a site's embed or player on the Stage, that content comes from the other site and is subject to its terms. We aren't responsible for other sites or for their content, and they may change or remove it at any time.
7. Copyright complaints
If you believe content in Podfitter infringes your copyright, send a notice to [email protected] or to the mailing address above. Include: your contact details; what work you believe is infringed; what content in Podfitter you're complaining about and enough detail for us to find it; a statement that you believe in good faith the use isn't authorized by you, your agent or the law; a statement, under penalty of perjury, that your notice is accurate and that you're the owner or authorized to act for them; and your physical or electronic signature. We'll remove or disable access to content when appropriate and close the accounts of repeat infringers.
8. Plans, limits and complimentary access
- Plans come with limits on shows, people and storage. When an account is full, new uploads stop until there's room; we don't delete your content because you've reached a limit.
- We may give an account complimentary access to a plan. Its terms are agreed with that account, and it ends when they say it does.
- Podfitter has no paid plans yet. Before we offer one, we'll publish its prices and billing terms, and nothing will be charged without your agreement.
9. Early software
Podfitter is new and still changing. Features may change, be added or be removed. We'll try to give notice of changes that matter to how you use it, and to give Account Owners time to export what they need before anything they rely on goes away.
10. Ending or suspending
- You can stop using Podfitter at any time, and ask us to delete your account or a show through Help & support or by email.
- We may suspend or close an account or a show that breaks these terms, puts others at risk, or where the law requires it. Where it's reasonable, we'll tell you first and give you a chance to fix the problem or export your content.
- We may stop offering Podfitter. If we do, we'll give at least 30 days' notice and a way to export your content.
11. Disclaimers
Podfitter is provided "as is" and "as available". To the fullest extent the law allows, we make no warranties of any kind, express or implied, including that Podfitter will be uninterrupted, error-free or fit for a particular purpose, or that content saved from other sites will be accurate or stay available. Keep your own copies of anything you can't afford to lose.
12. Limits on our liability
To the fullest extent the law allows, we aren't liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or audience, arising from your use of Podfitter. Our total liability for any claim about Podfitter is limited to the greater of the amount you paid us for Podfitter in the 12 months before the claim and US $50. Some places don't allow these limits, so they may not apply to you.
13. Your responsibility to us
If someone makes a claim against us because of your content or your breach of these terms, you'll cover our reasonable costs of dealing with it, including legal fees, to the extent the law allows.
14. Governing law
These terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-law rules. Any dispute will be handled in the state or federal courts located in Tennessee, and both of us agree to those courts' jurisdiction. Before going to court, we each agree to try to resolve the dispute informally by contacting the other for at least 30 days.
15. Changes to these terms
We may update these terms. We'll post the new version here with a new date, and for significant changes we'll tell Account Owners in the app at least 14 days before they take effect. If you keep using Podfitter after that, you accept the new terms.
16. The rest
If part of these terms can't be enforced, the rest still applies. If we don't enforce a part right away, we haven't given it up. You may not transfer your rights under these terms without our agreement; we may transfer ours to whoever takes over Podfitter. These terms and our Privacy Policy are the whole agreement between us about Podfitter.
